The Filing You Forgot You Owe: Your State’s Annual Report

Quick, honest question: do you know if your LLC owes an annual filing to the state, and if so, whether you’ve actually done it this year?

A lot of business owners don’t, and it’s an easy thing to lose track of — you form your LLC once, in a burst of paperwork and relief, and then assume you’re done with the state unless something changes. But depending on your state and how your LLC is taxed, there can be an ongoing filing requirement that has nothing to do with your income taxes and everything to do with simply staying in good standing.

Why this one sneaks up on people.

It’s not a monthly bill. It’s not something your bank or your CPA automatically reminds you about unless you’ve specifically asked them to. It shows up once a year, sometimes tied to your formation anniversary rather than the calendar year, which makes it even easier to lose track of.

What happens if you miss it.

Depending on the state, consequences range from late fees to your LLC

eventually being administratively dissolved — meaning the state stops recognizing it as an active legal entity. That’s a much bigger problem to untangle than the filing itself would have been.

The fix is boring, which is the good news.

Find out what your state actually requires for your entity, mark the date somewhere you’ll see it, and treat it like the recurring obligation it is — not a one-time hurdle you already cleared.

This is exactly the kind of small, easy-to-forget compliance detail that’s cheap to stay on top of and annoying to fix after the fact. If you’re not sure what you owe or when, it’s worth five minutes to check. If you want help building a system so nothing like this falls through the cracks again, that’s part of what I do at Kimberly Hill Business Studio.
